Terms of Service
These Terms govern your access to and use of the Qodoonect Trust Platform (the "Service"), operated by MB Qodoonect, legal entity code 308013013, registered in the Register of Legal Entities of the Republic of Lithuania ("Qodoonect", "we"), which is also the data controller. Our contact details are in the Imprint. By creating an account, signing a document or otherwise using the Service, you agree to these Terms.
1. The Service and what a verification means
1.1. Qodoonect Trust is a platform for electronic signing workflows, self-service identity verification of natural persons and verification of legal entities and their representatives. The features available today are listed in the Service; a feature marked "planned" is not provided.
1.2. Qodoonect is not a qualified trust service provider and is not listed in any EU trusted list. Qualified electronic signatures, seals and time stamps used in the Service are created with the means of qualified trust service providers (for example, the issuer of the signer's certificate). Qodoonect does not create, manage or hold signers' keys.
1.3. Where the Service offers it, on your request Qodoonect verifies: (a) that a legal entity exists and is active — level L1, data of the Register of Legal Entities; (b) a representative's authority — level L2, a qualified electronic seal of the entity or a certified register extract; (c) a person's identity and declaration — level L3, a declaration signed with a qualified electronic signature. The result (the "verification status") is Qodoonect's own assessment, made automatically from these sources on the date shown, with signatures checked against the EU trusted lists.
1.4. A verification status is not: a qualified trust service or a qualified validation under Regulation (EU) No 910/2014; an electronic attestation of attributes; an eIDAS assurance level; customer due diligence under anti-money-laundering law; or a guarantee that the entity or person will perform any obligation. Anyone relying on a verification status for a transaction should make the checks that transaction requires.
1.5. A verification status is valid for the period shown. It ends earlier if its source changes (for example, the Register of Legal Entities or the revocation of a certificate), if the declaration is revoked or if a discrepancy is found.
1.6. You may contest any automated verification decision and ask for a human review through the contacts in the Imprint.
2. Eligibility & account
You must be at least 18 years old and have legal capacity to contract. Accounts created on behalf of legal entities require an authorised representative. Qodoonect may refuse, suspend or restrict access where there are reasonable grounds to suspect a breach of these Terms, fraud, a security threat or a legal requirement. Unless the law or the security of the Service prevents it, we tell you the reason and how to contest it.
3. Trust levels
Each envelope, credential or capsule is bound to a Trust level (L0–L3). Trust levels are Qodoonect's internal levels; they are not eIDAS assurance levels. Higher levels require stronger verification and may involve additional fees. The level shown on a final artefact is the level achieved at the moment of completion.
4. Your responsibilities
- Keep authentication factors confidential and revoke them on compromise.
- Use the Service only for lawful purposes; do not upload content that infringes third-party rights or contains malware.
- Provide accurate information at sign-up and during identity verification.
- Comply with applicable signing-formality, retention, and tax obligations in your jurisdiction.
4A. Verification obligations
You must: (a) request verification only of yourself and of legal entities you are entitled to represent; (b) sign declarations only with your own signing means; (c) give true and complete data; (d) notify Qodoonect without delay of any change in the data stated in a declaration (head, representation rules, name) and revoke a declaration that is no longer true; (e) not use a verification status to mislead others; (f) not try to obtain a verification by circumventing the Service's checks. Business users shall compensate Qodoonect for third-party claims and fines resulting from a false declaration or a breach of this Section by the user or its representatives.
5. Fees, billing & refunds
Pricing is published on the public website and may be updated with 30 days notice. Statutory cancellation rights for consumers are preserved (Section 12). Disputed charges must be raised within 60 days of invoice. Free-tier limits are non-transferable.
6. Revocation, suspension and end of a verification
6.1. You may revoke a declaration at any time in the Service (Identity) or through the contacts in the Imprint. Revocation has effect for the future: the verification based on it ends.
6.2. Qodoonect lowers, suspends or revokes a verification without prior notice if its source changes, a certificate expires or is revoked, the declaration is revoked, a discrepancy or abuse is found, or two persons claim control of the same legal entity. In the last case, the matter goes to review.
6.3. If you close your account, your verification statuses end. Signed declarations and verification records are kept for the period stated in the Privacy Notice and then deleted.
6.4. You may contest an automated verification decision and ask for a human review in the Service or through the contacts in the Imprint. We reply within 30 days.
7. Intellectual property
Qodoonect owns the Service, its branding, and underlying software. You retain ownership of content you upload and grant Qodoonect a limited licence to process it solely to deliver the Service.
8. Confidentiality & security
Qodoonect implements technical and organisational security measures appropriate to the risk, informed by ETSI EN 319 401 and ISO/IEC 27001. Qodoonect does not claim certification under these standards. Vulnerability reports are welcome via security@qodoonect.com under the disclosure policy in SECURITY.md.
9. Liability
9.1. Qodoonect is liable for damage caused by its breach of these Terms in accordance with the law.
9.2. For business users, Qodoonect's aggregate liability in any twelve-month period is limited to the greater of (a) the fees paid for the Service in that period and (b) EUR 500. Qodoonect is not liable to business users for loss of profit, loss of business or indirect damage.
9.3. Qodoonect is not liable for damage caused by: inaccurate or incomplete data you provided; errors in or unavailability of the Register of Legal Entities, qualified trust service providers or the EU trusted lists; your use of someone else's signing means; or reliance on a verification status beyond its meaning in Section 1.4 or after it has ended.
9.4. The limits in 9.2 and 9.3 do not apply to damage caused intentionally or through gross negligence, to damage to life or health, or where mandatory law, including consumer protection law, does not allow them. Consumers' statutory rights are not affected.
9.5. These Terms do not create rights for third parties.
10. Termination
Either party may terminate with reasonable notice. Completed envelopes, signature receipts, and audit trails are retained per the Privacy Notice and applicable law even after termination. Verification statuses end when the account is closed (Section 6.3).
11. Governing law & disputes
These Terms are governed by the laws of the Republic of Lithuania. Disputes will be submitted to the competent courts in Vilnius, without prejudice to mandatory consumer-jurisdiction rules (Section 12).
12. Consumers
If you use the Service outside your business: (a) these Terms do not limit your rights under consumer protection law; (b) identity verification is free and provided at once at your request — by starting the signing you ask for it to be provided immediately and acknowledge that the right of withdrawal ends once it is provided; (c) we notify material changes 30 days in advance, and you may terminate free of charge before they take effect; (d) you may refer a dispute to the State Consumer Rights Protection Authority (vvtat.lt) or to the court of your residence. Paid features of the Service are offered to business users only.
13. Changes
We will notify material changes by email and in-product banner at least 30 days before they take effect. Consumers may terminate free of charge before then (Section 12). For business users, continued use after the effective date constitutes acceptance.
14. Language, assignment, force majeure
These Terms are provided in English. Qodoonect may transfer these Terms to an affiliated company that continues the Service, with 30 days' notice; consumers may then terminate free of charge. Neither party is liable for failure caused by events beyond its reasonable control, including the unavailability of the Register of Legal Entities, qualified trust service providers or the EU trusted lists.
